1. Provider and scope
These terms govern the use of the website aithena.co and engagements between the provider and its clients. The provider is:
Kevin Korenika s.p., trading as Aithena
Montinjančevo naselje 18, 6276 Pobegi, Slovenia
Company registration number: 9271830000
VAT ID: SI68065221 (registered for VAT)
Registered in the Slovenian Business Register (PRS) at AJPES, entered December 1, 2022
Email: info@aithena.co, telephone: +386 70 743 718
By submitting an inquiry, accepting a proposal or using this website, you confirm that you have read and accept these terms. Where a written proposal or contract differs from these terms, the proposal or contract prevails.
2. Services
The provider delivers websites and online stores, search and AI search optimization, digital marketing and advertising, email marketing, analytics and conversion tracking, business process automation and digitalization, AI agents, web applications, design, photography, copywriting and website maintenance.
The scope, deadline and price of each engagement are set out in a written proposal. A proposal is valid for 30 days from issue unless it states otherwise. Work not covered by an accepted proposal is carried out only by prior written agreement and is charged separately.
3. Prices and payment
Prices on this website are indicative and are stated without VAT, because the provider is registered for VAT. The binding price is the one in the proposal. Advertising budget on Google, Meta or any other platform is not part of the service price; the client pays it directly to the platform.
For a website or online store, 50 percent is payable on acceptance of the proposal and 50 percent on handover, unless the proposal says otherwise. Monthly services are invoiced in advance for the current month. Payment is due 8 days from the invoice date. Statutory default interest applies to late payment.
Cross-border engagements: for business clients outside Slovenia, VAT is handled under the applicable place-of-supply rules, and for business clients outside the European Union the service is generally outside the scope of Slovenian VAT. The invoice states the treatment that applies. Bank charges and currency conversion costs are borne by the payer unless the proposal says otherwise.
Until outstanding amounts are settled, the provider may withhold handover of access, source files and the transfer of rights under clause 6.
4. Client cooperation
The client provides the material needed for delivery in good time: texts, images, logo, access credentials and data. Deadlines in the proposal run from the day the provider receives the complete material. The client warrants that it holds the necessary rights to the material supplied and that it does not infringe the rights of third parties.
For a website or online store, three rounds of revisions are included in the price. Further revisions or changes of scope after the design has been approved are charged at the hourly rate.
5. Deadlines and handover
A typical website is delivered 14 days from receipt of the complete material. Deadlines for other services are stated in the proposal. The provider is not responsible for delays caused by late material, late approvals or third-party services outside its control.
A service is handed over when it is published on the agreed domain or when the client receives the agreed files. The client reports any defects within 8 days of handover, and the provider remedies defects arising from the accepted scope at no additional charge. This period applies to business clients and does not affect the mandatory rights of consumers under Slovenian consumer legislation.
6. Intellectual property and ownership
On full payment the provider transfers to the client the right to use the final deliverable for the purpose for which it was commissioned, without limitation in time or territory. Domain, hosting, advertising accounts and analytics accounts are opened in the client’s name and remain the client’s.
Code, design and files created specifically for the client transfer to the client on full payment, to the extent set out in the proposal, including source code. General modules, libraries, templates and code that existed before the project or that the provider uses across several clients remain the provider’s, and the client receives a perpetual, non-exclusive right to use them as part of its deliverable. The provider also retains the right to name the project as a reference, with the client’s name and logo. If the client does not want that, it says so in writing at any time and the reference is withdrawn.
Third-party software, for example WordPress, WooCommerce and plugins, remains under the license of its authors.
7. Termination
Where work has not started, either party may withdraw by written notice. Work already performed is charged according to its actual extent. Monthly services may be cancelled by the client at any time with effect from the end of the current month, with no notice period and no minimum term.
If the client is a consumer under Slovenian consumer law, a distance contract may be withdrawn from within 14 days without giving a reason, by sending an unequivocal statement to info@aithena.co. If the consumer expressly requests that performance begin within the withdrawal period and then withdraws, the consumer pays a proportionate part of the service already performed. The right of withdrawal is lost only once the service has been fully performed, where the consumer gave that express request and acknowledged the loss of the right. The same applies to digital content supplied with that consent and acknowledgement before the withdrawal period expires.
8. Complaints and warranty
Send complaints to info@aithena.co with a description of the problem. The provider replies within 8 days and remedies a defect arising from the accepted scope as soon as reasonably possible at no additional charge. The provider is not responsible for defects caused by changes made by the client or third parties, by external services, or by updates not carried out where the provider does not maintain the site.
Consumers exercise their rights in respect of non-conformity under Slovenian consumer legislation.
9. Limitation of liability
The provider works for accuracy of the content of this site and for reliable operation of the solutions it builds, but cannot guarantee a particular business result, a search engine position, a placement or citation in an AI assistant, or a response to advertising, because these depend on the market, on third-party platforms and on the client’s own actions.
The provider is not liable for damage arising from interruption of hosting, domains, payment systems, advertising platforms or other external services, nor from force majeure. Towards clients who are not consumers, the provider’s liability is limited to the value of the service under the accepted proposal. The limitation does not apply to damage caused intentionally or by gross negligence.
10. Confidentiality and data protection
Information the provider learns during an engagement is used only to deliver the service and is not disclosed to third parties, other than to processors necessary for delivery. Processing of personal data is described in the privacy policy. Where the provider processes personal data of the client’s own customers, the parties conclude a data processing agreement under Article 28 GDPR.
11. Governing law and disputes
Disagreements are resolved by agreement wherever possible. These terms and any engagement are governed by the law of the Republic of Slovenia, including for clients outside the European Union, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. For disputes with clients who are not consumers, the court at the provider’s registered seat has jurisdiction.
For consumers: under the Slovenian Out-of-Court Settlement of Consumer Disputes Act (ZIsRPS), the provider states that it does not recognize any out-of-court dispute resolution body as competent for disputes a consumer could bring under that act. A consumer may pursue rights before the competent court. The European Union online dispute resolution platform is no longer available, as it was discontinued on July 20, 2025. A consumer is also not deprived of the mandatory protection of the law of the country where they habitually reside.
12. Special provisions for consumers
Where the client is a consumer under Slovenian consumer law, the following apply in addition to the clauses above and prevail in case of conflict:
- For a distance contract, the consumer may withdraw within 14 days without giving a reason. If the consumer expressly requests that performance begin within that period and then withdraws, the consumer pays a proportionate part of the service already performed.
- The reporting periods in clauses 5 and 8 do not affect the consumer’s statutory rights in respect of non-conformity. A consumer may raise non-conformity within the statutory periods and the provider replies within 8 days.
- The limitation of liability in clause 9 does not apply to consumers to the extent the law prohibits it, and never to damage caused intentionally or by gross negligence.
- For disputes with consumers, jurisdiction follows the general rules. The provider does not recognize an out-of-court dispute resolution body, as stated in clause 11.
13. Changes to these terms
The provider may change these terms. An individual engagement is governed by the terms published when the proposal was accepted. The version published on this page is always the current one. This English text mirrors the Slovenian general terms; where the two differ in meaning, the Slovenian version prevails.
